Supervisory Board Compensation
The currently applicable provisions on the Supervisory Board’s compensation are set out in Section 12 of the Articles of Association of Siemens Healthineers AG. They date back to a resolution adopted by the extraordinary Annual Shareholders’ Meeting on February 19, 2018; the amendment to them adopted by the Annual Shareholders’ Meeting on February 15, 2023, relating to the compensation level, incl. attendance fee, for the Supervisory Board and its committees.
In accordance with Section 113 (3) of the German Stock Corporation Act (AktG), the Annual Shareholders’ Meeting on February 15, 2023, adapted the compensation of the members of the Supervisory Board including the system on which the compensation is based on by a majority of 99.93 % of the valid votes cast. The adopted compensation system is set out following the Agenda Item 11 under “Description of the compensation of the members of the Supervisory Board (Agenda Item 8)“ in the Notice of the Annual Shareholders’ Meeting 2023.
